You are required to carefully read and understand these Terms & Conditions before downloading, installing and using the mobile app/ website of Lokal App. Behtar Technology Private Limited operates and owns the platform with the brand name ‘Lokal App’, (hereinafter referred to as “we” or “us” or “our” or “company” or “Platform”). These Terms & Conditions, along with the other terms constitutes the Platform Policies (including the Terms & Conditions & Privacy Policy) creates a binding agreement by and between Us and You (hereafter referred to as “you” or “your” or “users”) governing your use of our website, goods (as applicable) or mobile app or services (as applicable) (referred to as “Services”).

By using our mobile app/ website and availing the services thereof, you agree that you have read and accepted the Terms & Conditions including the Platform Policies and all other applicable laws and regulations.

We reserve the right to modify and update these Platform Policies at any time and without assigning any reason. It is your responsibility and we expect you to periodically review these Platform Policies to stay updated and informed.

By accessing and using ‘Lokal App’ and avail the Services thereof, you agree to comply with and be bound by the Terms & Conditions including the Platform Policies. If you do not agree, please do not use the platform.

It is understood that the Terms & Conditions shall construe an Agreement between You and the Platform.

User Registration and Account Responsibility

To access and use the Mobile App/Website while availing the Services, you must create an account using your mobile number.
Upon the creation of your account, you agree to provide accurate, updated and complete information to us and regularly update the information your account as and when applicable.
You are entirely responsible for the usage on the Mobile App/Website through your account and maintain the confidentiality of your login credentials and the information accessible through your account.
You are required to notify us immediately of any unauthorized use or access or security breach incident related to your account.
You are prohibited from using another person’s account on the platform to avail the Services.

Your License and Use of the Platform

Subject to the Terms & Conditions, Lokal App grants You only a limited, non-transferable, non-exclusive, revocable license to use the Platform only for legal and permitted purposes. The Platform is licensed to You for the limited usage permitted under the law and the Platform retains ownership of the Platform and all copies thereof, including those installed on Your devices. Lokal App may assign or transfer this License Agreement, in whole or in part, without restriction. However, You are restricted to assign, transfer, or sublicense any of Your rights under this license to any third party.

You acknowledge that the Platform functions solely as an intermediary that enables the users to view/ publish the content across the Platform. Lokal App does not create, control or endorse such content viewed/ published by the users. Lokal App shall not be responsible or liable for any claims, damages or losses arising out of or related to the view/ publication of any content through the Platform.

User Content

Upon the creation of the account, you shall create, submit and upload content on the Platform (referred to as “User Content”).
You are solely responsible for the accuracy of the User Content submitted by you upon the profile creation and to the Platform whenever applicable. Any content that is false, misleading or violates third-party rights is prohibited on the Platform.
You consent to the usage of the User Content by the Platform for the purposes of operating, promoting, improving and delivering the services of the Platform.
The Platform at its own discretion reserves the right to remove or disable any User Content that violates the Terms & Conditions including the Platform Policies without notice.
To the extent permitted by law, you agree to indemnify and hold harmless Lokal Jobs, its owners, operators and affiliates from any claims, liabilities or damages arising from the use of the Service of any Third-Party content.

Term & Termination

These Terms & Conditions and subsequent revisions thereof, shall remain in full force and be applicable while You use the Services of the Platforms and certain provisions may continue to apply even after the termination. You may terminate this Agreement by deleting your account and permanently stop the usage of the Platform, for any reason thereof. Lokal App may terminate this Agreement by deleting your account without assigning any reasons whatsoever, if it has been noted that You have breached these Terms & Conditions. Upon the termination of this Agreement, Your data/information be deleted in terms with our policies formulated in accordance with the applicable laws. However, please be informed that certain data/information are maintained with the Platform for archival and legal purposes. We may update or modify these Terms & Conditions from time to time. If You do not agree with any such changes, You may choose to stop accessing or using the Platform.

Activity Prohibited

While using the Platform, You agree that You shall not:

Modify or misuse the Platform: Alter, modify, adapt, or interfere with any part of the Platform, or use the Platform for any unlawful, unauthorized, or prohibited purpose.
Frame or Reproduce Platform content: Reformat, frame, mirror, or otherwise reproduce any portion of the Platform or its webpages without prior written consent from Lokal App.
Collect user data without authorization: Collect, harvest, scrape, or otherwise obtain personal data or any other information relating to other users through spidering, scraping, automated tools, or similar means.
Post malicious or unsolicited content: Post, transmit, or distribute spam, malware, spyware, viruses, or any other harmful, malicious, or unsolicited communications, including attempts to obtain passwords, account details, or other confidential information from users.
Impersonate or misrepresent identity: Impersonate any person or entity, whether real or fictitious, or falsely represent Your affiliation with any individual or organization, including registering accounts or communicating using another person’s name or identity.
Transfer or share account access: Rent, sell, lease, transfer, sublicense, or otherwise provide access to the Platform or Your account credentials to any third party, or permit any third party to use Your account.
Unauthorized commercial use: Resell, commercially exploit, download, or copy any account information or other data from the Platform for the benefit of Yourself or any third party, except for the permitted purpose of publishing advertisements.
Reverse engineering or circumvention: Copy, adapt, reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code of the Platform, or circumvent any technological protection or rights management mechanisms.
Interfere with Platform security or operations: Attempt to gain unauthorized access to the Platform, servers, systems, or networks; test or scan vulnerabilities; bypass security measures; or disrupt or interfere with the proper functioning of the Platform through hacking, overloading, mail-bombing, or similar actions.
Transmit harmful code or disruptive technology: Introduce viruses, worms, Trojan horses, bots, spyware, time bombs, packet or IP spoofing, forged routing information, or any other harmful or disruptive code that may damage, overburden, or impair the Platform or its related systems.
Harassment or abuse: Stalk, threaten, harass, abuse, exploit, or otherwise harm other users of the Platform, any users of platforms where advertisements are published, or any employees or representatives of Lokal App.
Unauthorized automated access: Use robots, spiders, crawlers, scraping tools, offline readers, or any automated means to access, retrieve, index, analyze, or copy any portion of the Platform or information contained therein, except through publicly available search engines.
Violation of Intellectual Property Rights: Remove, alter, or obscure any copyright, trademark, or proprietary notices on the Platform. You may not use Lokal App’s trademarks, logos, or proprietary graphics, including through meta-tags or hidden text, without Lokal App’s prior written consent.
Unlawful storage or downloading of content: Illegally download, copy, or store any content obtained from the Platform without authorization.
Legal and Regulatory Compliance: Comply at all times with all applicable laws and regulations, including the provisions of the Information Technology Act, 2000 and its applicable rules, as well as any other domestic or international laws, taxation laws, foreign exchange regulations, and statutory obligations applicable to Your activities on the Platform.

NOTE: For the purposes of these Terms & Conditions, “Lokal App’s prior written consent” means a written communication issued by Lokal App’s Legal Team, specifically in response to Your request and expressly authorizing the particular activity or conduct for which such consent is sought.

Intellectual Property

Your use of the mobile App/website is and at all time shall be governed by and subject to the laws regarding copyright, trademark, patent and trade secret ownership and use of intellectual property. You agree to abide by laws regarding copyright, trademark, patent and trade secret ownership and use of intellectual property and you shall be solely responsible for any violations of any laws and for any infringements of any intellectual property rights caused by your use of the mobile app/website through your device. The Platform owns all intellectual property rights to the Platform or mobile app/website or Services including the trademarks, device marks/ logos, software/technology and content, excluding User Content. We own all the copyrights in relation to the mobile app/website.

Any intellectual property which is not specifically mentioned to be owned by Lokal App is owned by their respective owners and the owners have a right to take appropriate actions against you for any violation, infringement or passing off.

We respect the intellectual property rights of others and do not hold any responsibility for any violations of any Third-Party’s intellectual property rights by you.

Privacy & Data Processing

In order to learn more about how Lokal App collects, uses and shares your personal information, please refer to our Privacy Policy. Your use of the mobile app/website signifies your consent to our handling of such information in accordance with the Privacy Policy.

Third-Party Links & Services

The mobile app and/or Platform may contain links to third-party websites and/ or services. These are only provided for your convenience and we do not endorse or control these external sites.
Your interactions with Third-Party are solely between you and the Third-Party are at your own risk and discretion.

Warranty and Representation Disclaimer

Your usage of the Services of the Platform is on “as is” and “as available” basis.

Your use of the mobile app and Services is entirely at your own risk. To the maximum extent permitted by law, Lokal App, its directors, employees and agents disclaim all warranties, whether express or implied, related to the Services and your use of the Services. This includes but is not limited to the warranties, conditions, terms or representations about the accuracy of the published content.

Lokal App does not warrant, endorse, guarantee, or assume responsibility for any products or services advertised or offered by third parties through the Platform, including through any hyperlinks, banners, or other advertisements.

Lokal App shall not be a party to, nor responsible for monitoring, any transaction between You and any third-party provider of products or services. You acknowledge that any interaction or transaction with such third parties is solely between You and the relevant third party. As with the purchase of any product or service through any medium, You should exercise Your own judgment and caution. To the fullest extent permitted by applicable law, Lokal App shall not be liable for any loss, damage, interference, personal injury, property damage, or other harm of any nature arising out of or related to Your access to or use of the Platform, including any hacking, security breach, or other unauthorized intrusion. Lokal App expressly disclaims all liability in connection with the foregoing.

To the fullest extent permitted by law, Lokal App assumes no liability or responsibility for the unauthorized access of your Account from our secure servers and any personal or financial information stored therein.

Lokal App assumes no responsibility of the interruption or cessation of transmission from our Services including but not limited to the transmission of the bugs, viruses, trojan horses, or other harmful elements through the Services by Third-Party.

Lokal App does not warrant, endorse, guarantee or take responsibility for any product or service advertised or offered by a third party through the Services, any linked services, or featured in advertisements/ banners for marketing purposes. We absolve from any liability and/or responsibility for monitoring any transactions between you and third-party providers of products or services.

The Services are operated by Lokal App from its facilities in India. Lokal App makes no representation about the suitability or availability of the Services in other locations. Your access to the Services outside India is at your own discretion and you are responsible for compliance with applicable local laws.

Limitation of Liability

The limitation of the liability applies regardless of the legal theory on which the claim is based, including warranty, contract, tort or otherwise and regardless of whether Lokal App has been advised of the possibility of such damages.

By using the mobile app/website and availing the Services thereof, you waive any and all claims against us. Some states may not allow the exclusion or limitation of implied warranties or certain types of damages, so these provisions may not apply to you.

The limitation of liability is an essential part of the present agreement and represents a fair distribution of risk. The mobile app/website and Platform would not be provided without these limitations and you agree that they survive the termination of your Account and/or access to the Service of the mobile app and/ or Platform. This disclaimer does not affect liability for fraud, fraudulent misrepresentation or other liability that cannot be limited under applicable law.

Indemnity

To the extent permissible under the applicable law, you agree and consent to defend, indemnify and hold harmless Lokal App, its owner/parent company, directors, employees or agents from any claims, damages, obligations, losses, liabilities, costs or expenses (including but not limited to the attorney’s fees) arising from:

Your use of/or access to the Service.
Your violation of these Terms & Conditions including the Platform Policies.
Your infringement of any Third-Party rights, including intellectual property rights or privacy rights.

The indemnification obligation will survive the termination of your use of the registered Account and access to the Services of the Platform.

Eligibility

You affirm that you are at least 18 years old or have necessary parental/ legal guardian consent if younger.
Use by persons under 13 years of age is prohibited.

Governing Law & Jurisdiction

These Terms & Conditions shall be governed by the laws of India. The Courts of Bangalore, Karnataka shall have the exclusive jurisdiction over any disputes arising under these Terms & Conditions and Platform Policies.
You and Lokal App (Parties) agree and consent to first mediate any disputes or claims between us in good faith and resolve the disputes amicably.
You agree and consent that you will not file or participate in a class action against us.

Changes to Terms

Lokal App reserves the right to modify or discontinue any aspect of the Services at any time without any prior notice.
Lokal App reserves the right to modify or replace these Terms & Conditions at its sole discretion. If the changes are material, we shall make reasonable efforts to provide at least fifteen (15) days’ notice before they effect.
Your continuous use of the Service after revisions indicate your agreement to the updated terms. If you disagree with the new terms, you must stop using and availing the Services.

Miscellaneous

These Terms & Conditions which may be updated periodically and constitute the entire agreement between you and us, superseding all prior agreement, representation and arrangements between us (whether written or oral), except for the Privacy Policy. This clause does not limit or exclude liability for fraudulent misrepresentation.

Lokal App has taken reasonable measures to ensure accuracy, authenticity and completeness of the information provided on the mobile app/website presenting it on “as is” and “as available” basis.

Communication between you and us may occur electronically, whether through the Mobile App, SMS, Email or posting within the mobile app and are subject to the Platform Policies and are treated as confidential in nature. You consent that the discloser of any communication or information you received from Lokal App without Lokal App’s consent must be considered as a breach of these Terms & Conditions. By using the Mobile App, you (i) consent to receive communications from the mobile app electronically even if the registered mobile number is registered under DND/NCPR list under the TRAI regulations. Further you authorise us to share/disclose the information to any third-party service providers or any affiliates, group companies and their authorised agents and (ii) agree that all terms, agreement, notices, disclosures and other communications provided by us electronically satisfy any legal requirement that such communications be in writing.

If any provision of these Terms & Conditions including the Platform Policies is declared illegal, invalid or unenforceable by a court of competent jurisdiction, that provision shall be deemed severed and deleted. The remainder of the Terms shall continue in full force and effect and remain binding and enforceable.

No failure or delay in exercising any right, power or privilege under these Terms & Conditions including the Platform Policies shall operate as a waiver nor shall any single or partial exercise of any right, power or privilege preclude any further exercise of that right of the exercise of any other right, power or privilege.

These Terms & Conditions and any rights or access granted hereunder may not be transferred or assigned by you but may be assigned by us without restriction.

In the event of any discrepancy between the English language version and any translated copies of the Terms & Conditions and the Platform Policies, the English version shall prevail.
