Lokal Matrimony - Terms of Use

1. Introduction:

Behtar Technology Private Limited, through its Mobile Application called Lokal Matrimony”) provides a platform to eligible individuals seeking lawful matrimonial alliance to interact and find suitable matches for marriage. Lokal Matrimony is not a casual dating, friend finding or marriage bureau platform and is intended to be used to only facilitate connecting serious legally eligible individuals for finding prospective marriage matches.

Lokal Matrimony is an intermediary as defined under Section 2 (w) of the Information Technology Act, 2000 and these Terms of Use are in consonance with the provisions of Rule 3 (1) of the Information Technology (Intermediaries Guidelines) Rules, 2011

These Terms of Use set out the binding terms and conditions for use by a user (“You”) of the Lokal Matrimony platform and the related Products and Services as defined herein below.

These Terms of Use shall be deemed to be an electronic record laying down the mutually acceptable terms for use of Licensed Application and/or Products and Services by the You. Being an electronic record generated by or through a computer system, it does not require any physical or digital signatures.

These Terms of Use may be modified by Lokal Matrimony from time to time. In order to use the Lokal Matrimony platform, You must accept the Terms of Use, register and open an Account by providing the requisite details.

Every individual who opens an account on the Licensed Application, whether free or paid is referred to as “User”.

Lokal Matrimony presumes that every User who uses the Licensed Application does so with a bona fide intention of getting married and not for any other purpose. The mere providing of the Licensed Application or the Products and Services should not in any way be seen or understood as an offer or endorsement/approval by Lokal Matrimony of any User Content.

2. Acceptance of Terms of Use

1. Lokal Matrimony platform (hereinafter referred to as “Licensed Application”) along with the other products, features, services, technologies, software etc. that are being offered by Lokal Matrimony (hereinafter referred to as “Products and Services”) are licensed, not sold (hereinafter together referred to as “the License”) to You for use only under the present Terms of Use.

   This License is being provided by Behtar Technology Private Limited (hereinafter also referred to as “the Company”) having its registered address at C/o Sparkline Solutions # 811,10th A Main Suite # 611, 1st Floor Indiranagar, Bangalore 560038. The terms Lokal Matrimony and the Company are used interchangeably in the Terms since Lokal Matrimony is a platform owned and run by the Company.

   By clicking “Join Now”, “Sign Up”, registering, accessing or using the Licensed Application, you agree to enter into a legally binding contract and be bound by the present Terms of Use. If you do not agree to any of the Terms of Use, you should not click “Join Now” (or similar) and should not access or otherwise use the Licensed Application or the Product and Services. If you wish to terminate this agreement at any time, it can be done by closing the user account and no longer accessing or using the Licensed Application or Products and Services.

   Even otherwise, when you use the Licensed Application or the Products and Services, you agree to all of these Terms of Use. The use of the Licensed Application or Products and Services is also subject to Lokal Matrimony’s other policies including but not limited to Privacy Policy which covers how Lokal Matrimony collects, uses, shares and stores personal information of users.

   You acknowledge that you have read these Terms of Use, the other Policies including but not limited to Privacy Policy and agree to all its terms and conditions.

2. Lokal Matrimony reserves the right, at its sole discretion, to change, modify, add or remove portions of these Terms of Use, at any time without any prior written notice to You. It is your sole responsibility to review these Terms and the policies periodically for updates or changes. Your continued use of the Licensed Application or the Products and Services following the posting of changes to the Terms of Use and policies shall be deemed to mean that you accept and agree to the revisions.
3. Lokal Matrimony reserves the right to terminate Your Account/this agreement and/or refuse to provide You with access to the Licensed Application or Products and Services if it is brought to Lokal Matrimony’s notice or if it is discovered that you are not eligible to use the Licensed Application or the Product and Services, without any refund of any Subscription Fees, if any paid.

3. Opening an Account:

1. In order to use the Licensed Application and Product and Services, you will be required to create an account (“Account”). As part of the Account opening process, you have to to provide your mobile number, other personal details, an e-mail address and a password which is to be used for logging into the Account in the future. You hereby agree and undertake that you will not transfer or share your Account details and password with anyone. You may please note that your name, gender and date of birth provided while creating an Account must be accurately and correctly filled up by You at the time of creating the Account since these details cannot be edited by You later.
2. The confidentiality of your username and password is to be maintained by you as your sole responsibility and in case of any misuse or unauthorised access of the Account you shall be solely liable for the same. Further, in case of any such misuse or unauthorized access it would be your responsibility to immediately inform and notify Lokal Matrimony.

4. User eligibility and the conditions of use:

You explicitly agree, represent and warrant that you:

1. can enter into legally binding contracts, are not "incompetent to contract" under the Indian Contract Act, 1872 and have the capacity to enter into the present contract.
2. are of or above the legal marriageable age presently being 18 years for females and 21 years for males.
3. understand that Lokal Matrimony is merely a facilitator for finding matrimonial matches and cannot be used for casual dating, friend finding etc.
4. understand that Lokal Matrimony does not recommend any User Content or guarantee compatibility etc. amongst any Users for the purposed of matrimonial alliance.
5. will use the same name that is used in everyday life, when you operate an Account on the Licensed Application;
6. will create only one account and that Lokal Matrimony reserves the right to deactivate multiple accounts of yours without any liablity including but not limited to refund of Subscription Fees, if any paid.
7. will provide accurate information including true pictures or photographs of yourself which are acceptable for display in the sole discretion of Lokal Matrimony.
8. shall not give access to your respective Lokal Matrimony account to others or transfer account to anyone else.
9. you or your account has not previously been disabled by Lokal Matrimony for violations of its terms or policies;
10. will provide content or information that does not violate the law nor anyone’s rights;
11. are not prohibited from using the Licensed Application or the Products and Service under applicable laws or orders/directions/judgments of courts.
12. shall not do anything that is unlawful, misleading, discriminatory or fraudulent.
13. shall not harass, stalk, threaten, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate based on gender, sexual orientation, religion, ethnicity, race, age, national origin, or disability.
14. shall not collect or track the personal information of other Users.
15. shall not upload viruses or malicious code, or do anything that could disable, overburden or impair the proper working or appearance of Licensed Application or interfere with or circumvent the security features of the Licensed Application or the Products and Services or any related mobile application, other mobile applications, or the Internet.
16. shall not access or collect data from the Licensed Application using automated means or attempt to access data for which there is no permission to access.
17. shall have no objection in case Lokal Matrimony removes or restricts access to content including but not limited to User Content that is in violation of these Terms of Use.
18. shall not breach these Terms or any other Terms and policies that apply to use of Licensed Application.
19. agree, undertake and covenant that, during the use of the Licensed Application, you shall not use, host, display, upload, modify, amend, publish, transmit, update or share any information or content including but not limited to User Content that:
    • belongs to another person or entity and in relation to which you do not have any right.
    • is grossly harmful, harassing, blasphemous, defamatory, obscene, pornographic, pedophilic, libelous, invasive of another person's privacy, hateful or racially or ethnically objectionable, or encouraging money laundering or gambling, or otherwise unlawful in any manner whatsoever.
    • is misleading or false in any way.
    • involves the transmission of "junk mail", "chain letters", or unsolicited mass mailing or "spamming".
    • infringes upon or violates any third party's rights including, but not limited to, intellectual property rights, rights of privacy (including without limitation unauthorized disclosure of a person's name, e-mail address, physical address, phone number, photographs) or rights of publicity.
    • provides instructional information about illegal activities such as violating someone's privacy, or providing or creating computer viruses and malware such as spyware, worms, trojans, etc.
    • tries to gain unauthorized access or exceeds the scope of authorized access to the Licensed Application or to profiles, account information of other Users etc., or other areas of the Licensed Application or solicits passwords or personally identifiable information for commercial or unlawful purposes from other users of the Licensed Application.
    • engages in commercial or business activities including but not limited to activities for gain, contests, sweepstakes, barter, advertising etc.
    • interferes with another user’s use of the Licensed Application.
    • Induces reference to any website or URL that, in Lokal Matrimony’s sole discretion, contains material or content that is inappropriate, unlawful, prohibited, competitive to the business of the Licensed Application or violates the letter or spirit of these Terms of Use.
    • deceives or misleads the other Users about the origin of such messages or communicates any information or content which is grossly offensive, unlawful, unauthorized or menacing in nature.
    • contains software viruses or any other computer codes, files or programs designed to interrupt, destroy or limit the functionality of any computer resource; or contains any trojan horses, worms or other computer programming routines that may damage, detrimentally interfere with, diminish value of, covertly intercept or steal any system, data or personal information.
    • harms minors in any way;
    • threatens the unity, integrity, defense, security or sovereignty of India, friendly relations with foreign states, or public order or causes incitement to the commission of any cognizable offence or prevents investigation of any offence or is insulting to any other nation.
    • is a misuse or unauthorized use of the Licensed Application or is a use prohibited by law or is unlawful.

5. Scope of License

This License granted to You for the Licensed Application is limited to a non-transferable license to use the Licensed Application and/or the Products and Services. As long as you comply with these Terms of Use and other policies including but not limited to Privacy Policy, Lokal Matrimony grants you a personal, non-exclusive, non-transferable, limited privilege to access and use the Licensed Application and Product and Services.

You may not rent, lease, lend, sell, redistribute or sublicense the Licensed Application for any purpose including but not limited to any business or commercial use. You may not copy (except as expressly permitted by this License and any usage rules), decompile, reverse engineer, disassemble, attempt to derive the source code of, modify, or create derivative works of the Licensed Application and/or Products and Services, any updates or any part thereof. The terms of this License will govern any upgrades provided that replace and/or supplement the original Licensed Application and/or Products and Services, unless such upgrade is accompanied by a separate license in which case the present Terms of Use and the terms of the license for that upgrade will govern.

6. User Content

1. The Licensed Application permits you to post, upload and use certain content, data or information of your own including but not limited to name, email id, residential address, mobile/phone number, date of birth, age, gender, health related information, ethnicity/habits/practices/culture, appearance, religion, family details, profession or occupation, preferences, life style information, geographical location, photographs, text, communications as well as submit any other information in your Account while using the Licensed Application (collectively referred to as "User Content").
2. You, being the creator of the User Content, are responsible for the User Content that you upload, publish, transmit or otherwise make available on the Licensed Application or to any of the other Users of the Licensed Application through any mode. You represent that you have all consents and authorizations in order to post any User Content. You understand and hereby agree that all User Content whether publicly posted or privately transmitted or otherwise made available to Lokal Matrimony or the Users are your sole responsibility and shall be at your sole risks and consequences. Accordingly, you and not Lokal Matrimony are solely responsible for all the User Content that you upload, post, email, transmit or otherwise make available on the Licensed Application.
3. You represent and warrant that you own or otherwise control all of the rights to the User Content that you post or otherwise provide on or through the Licensed Application and that (i) the User Content is accurate, true and lawful; (ii) use of the User Content you supply does not breach these Terms of Use.
4. You further represent and warrant that you shall not post any User Content on the Licensed Application which is offensive, libelous, derogatory, hateful or racially or has objectionable language. Further, you shall not post any User Content on the Licensed Application that is obscene, pornographic, constitutes an “indecent representation of women” including but not limited to as provided in The Indecent Representation of Women (Prohibition) Act, 1986.
5. You acknowledge and understand that Lokal Matrimony does control the User Content posted and even otherwise does not screen, guarantee, endorse, verify, certify, attest or confirm any such User Content or truthfulness, accuracy, integrity or quality thereof, either yours or any other User’s and is not responsible or liable for any User Content of yours or of any other User of the Licensed Application. Lokal Matrimony does not monitor, control or direct what Users do or say, and is not responsible for their actions or conduct (whether online or offline) including harassment, stalking, threatening, exploitation etc. or any content that they share or post (including inappropriate, unlawful and other objectionable content).
6. Notwithstanding this, Lokal Matrimony reserves the right in, it's sole discretion to review the activity and status of each account and User Content and block access to the User based on such review, screen communications that You may send to other Users and regulate the same by deleting unwarranted/obscene communications, remove or delete any User Content which violates or breaches the present Terms of Use, without prior notice to You. In case Lokal Matrimony understands that You had/have no intention to enter into marriage alliance, Lokal Matrimony shall reserves the right to remove or delete User Content/Account from the Licensed Application and initiate legal proceedings as deemed fit.
7. Lokal Matrimony reserves the absolute right but does not have the obligation to verify the authenticity of any User Content. Lokal Matrimony may call upon You to provide documentary or any other form of evidence etc. supporting the veracity or authenticity of User Content. If You fail to comply with the request of Lokal Matrimony within a reasonable time, it shall be deemed to be a breach of these Terms of Use and Lokal Matrimony may take suitable action including but not limited to termination of this agreement, forfeiture of Subscription Fee, if any paid etc.

7. Specific permissions and consent to use of User Content given by you

You agree that Lokal Matrimony may collect, share, display, post and use including but not limited to technical data and related information, User Content etc. and accordingly grant Lokal Matrimony:

1. Permission to use the User Content that is created by you including but not limited to for sharing the same with other Users of Lokal Matrimony or third parties.
2. A worldwide, transferable, sub-licensable, irrevocable and unconditional right, license and consent to Lokal Matrimony to use, store copy, modify, amend, distribute, publish, process, publicly display and share information and User Content that you provide on or through Licensed Application or Products and Services without any further consent, notice and/or compensation to you or others.
3. Consent to the receipt of communication from Lokal Matrimony by way of, including but not limited to SMS, e-mails, through Whats App and newsletters. This consent and permission shall supersede and prevail over any preferences set or registration done with the Do Not Disturb (DND Register)/ National Customer Preference Register (NCPR).
4. Permission to third parties including other Users of the Licensed Application to see and have access to User Content and information provided by you, contacting you through email, SMS’s, mobile/telephone etc.
5. Consent to use and gather technical information about Your device, system and application software and peripherals to facilitate the provision of software updates, product support, other services, technology and improve Products and Services related to the Licensed Application or Products and Services.
6. Consent to receive sponsored content and show ads that Lokal Matrimony thinks will be relevant to you. Lokal Matrimony may use personal data and/or User Content of the Users to help determine which ads to show to the You and the respective User.

8. Intellectual property rights

These Terms of Use do not transfer to you any Intellectual Property Rights and other proprietary information of its owners and its licensors including but not limited to copyright, trademarks, service marks, graphics and logos used in or in connection with Lokal Matrimony, Licensed Application or the Products and Services. The said Intellectual Property Rights are owned by Lokal Matrimony or third-parties and all rights, titles, and interests in and to such property will remain solely with Lokal Matrimony or third parties, as the case may be. Your use of Lokal Matrimony, Licensed Application or Products and Services grants you no right or license to reproduce or otherwise use any Lokal Matrimony or third-party Intellectual Property Rights. You cannot copy, post, distribute, or reproduce in any way any copyrighted material, trademarks or other proprietary information of Lokal Matrimony, other User, third parties etc.

9. Subscription of the Licensed Application and Services

1. Certain portions and features of the Licensed Application and/or Product and Services would be available to you without any cost or payment required to be made to Lokal Matrimony (hereinafter referred to as “Free Licensed Application and Services”).
2. Certain other portions and features of the Licensed Application and Product and Services would be available to you only upon payment of specified amounts (hereinafter referred to as “Subscription Fee”) for use of the said features (hereinafter referred to as “Paid Licensed Application and Services Subscription”).

Different subscription packages and special promotions may be offered by Lokal Matrimony, the details of which would be available on the Lokal Matrimony platform. Lokal Matrimony reserves the right to change, modify, curtail, expand and/or terminate any offered Paid Licensed Application and Services Subscription or promotions at any time. The price subscription period and any specific terms relating to your Paid Licensed Application and Services Subscription will be confirmed to you when you subscribe to the same. Paid Lokal Matrimony Application and Services Subscription are pre-paid.

You can also find the specific details relating to your Paid Licensed Application and Services Subscription, including the Subscription Fees, subscription period and date of your next scheduled payment, by visiting “My Account”.

The Subscription Fees is not refundable and the amount shall accordingly stand appropriated immediately upon payment. Any exceptional refund of the Subscription Fee, if any will be at the sole discretion of Lokal Matrimony. It is reiterated that Lokal Matrimony gives no guarantees of server uptime or the Licensed Application or the Products ans Services working properly without any glitch.

10. Links to Third Party Applications or Websites

Lokal Matrimony may contain links and interactive functionality interacting with the websites or applications of third parties including but not limited to payment gateways etc. for making payments for Paid Licensed Application and Services Subscription, links to advertisements etc.

Lokal Matrimony is not responsible for and has no liability for the functionality, actions, inactions, privacy settings, privacy policies, terms, or content of any such third party website or application. Before enabling any sharing functions to communicate with any such website or application, otherwise visiting any such website or application or providing any information including but not limited to personal information, credit card/bank account details etc., it is recommended that You review and understand the terms and conditions, privacy policies, settings and information-sharing functions of each such third-party website or application. Lokal Matrimony shall not liable or responsible for any such interactions that you may have with any such third party websites, applications or links etc.

11. Disclaimer of warranties and liabilities

Lokal Matrimony would, on best effort basis, attempt to ensure availability of any content residing in the Licensed Application or Products and Services. However, in no event shall Lokal Matrimony be held liable or responsible for loss of any such content. It is your sole responsibility to maintain appropriate backup of your User Content.

You expressly acknowledge and agree that use of the Licensed Application or the Products and Services is at your sole risk and that the entire risk as to satisfactory quality, performance, accuracy etc. is with you. The Licensed Application and Products and Services are provided on “as is” and “as available” basis, with all faults and without warranty of any kind.

Lokal Matrimony hereby disclaims all warranties and conditions with respect to the Licensed Application and Products and Services, either express or implied including, but not limited to the implied warranties and/or conditions of merchantability, of satisfactory quality, of fitness for a particular purpose, of accuracy, of quiet enjoyment and non-infringement of third party rights. Lokal Matrimony does not warrant against interference with your enjoyment of the Licensed Application and Products and Services, that the functions contained in, or services performed or provided by the Licensed Application or Products and Services will meet your requirements, that the operation of the Licensed Application or Products and Services will be safe, without delays, disruption or imperfections, uninterrupted or error-free, or that defects in the Licensed Application or Products and Services will be corrected by Lokal Matrimony. Lokal Matrimony is not liable under any circumstances for damages arising out of or related in any way to your inability to access, or your difficulty in accessing the Licensed Application, any hacking attacks, malware infection, bugs, viruses, trojans, or the like, which may be transmitted to or through the Licensed Application by any third party (even though all efforts will be made to secure the Licensed Application); any loss of your data or User Content and your failure to keep your password or Account details secure and confidential

No oral or written information or advice given by Lokal Matrimony or its authorized representative shall create a warranty. Should the Licensed Application or Products and Services prove defective, you assume the entire cost of all necessary servicing, repair or correction.

Lokal Matrimony shall have no responsibility for any damage to your mobile handset or computer system or loss of data that results from the download of any content, materials, document or information

By using the Licensed Application or Products and Services, You may encounter content or information that might be inaccurate, incomplete, delayed, misleading, etc. You agree that Lokal Matrimony is not responsible for others’ (including other Users) content or information. Lokal Matrimony cannot always prevent this misuse of its Products and Services, and it is agreed that Lokal Matrimony is not responsible or liable for any such misuse.

You should independently verify and carry out diligence in relation to the User Content /information posted by the Users before acting upon the same and under no circumstances shall Lokal Matrimony be liable in any way for any User Content, including, but not limited to, any errors or omissions in any User Content, or any loss or damage of any kind incurred as a result of the use or belief on any User Content posted, emailed, transmitted or otherwise made available on the Licensed Application or by the Users of the Licensed Application.

Notwithstanding the fact that the lead for any of your offline or online activity, connection or relationship may have been generated or initiated from the usage of the Licensed Application or Products and Services, Lokal Matrimony shall not be responsible or liable, including but not limited to, for any untoward incident, losses, damages, activity or action that you may face or suffer having connected to another User through the Licensed Application. Lokal Matrimony explicitly disclaims any liability, losses or damages etc. arising out of or in relation to any such relationship (including but not limited to matrimonial relations established pursuant to use of Licensed Application or Products and Services) inter se You and the other Users.

Lokal Matrimony shall, under no circumstances be liable or responsible for any loss or damage resulting from anyone's use of the Licensed Application or Products and Services, use of any User Content posted or transmitted to Users or discontinuance of the Licensed Application. You should not provide or share any financial information (such as credit card details, bank account details, related passwords) or transfer money to other Users and Lokal Matrimony shall not be liable for any losses, damages etc. caused to You in this regard.

Lokal Matrimony shall not be responsible or liable in case the User Content publicly displayed on the Licensed Application is unauthorisedly copied, published, forged, superimposed, manipulated etc. or misused by any User. Users shall indemnify and hold harmless Lokal Matrimony against any losses, damages etc. which Lokal Matrimony may suffer from or due to any such aforesaid actions

12. Limitation of liability

To the extent not prohibited by law, in no event shall Lokal Matrimony be liable for personal injury or any exemplary, incidental, special, indirect or consequential damages whatsoever, including, without limitation, damages for loss of profits, loss of data, information, content including User Content, personal loss, business interruption or any other commercial damages or losses, arising out of or related to your use or inability to use the Licensed Application or Products and Services, however caused, regardless of the theory of liability (contract, tort or otherwise) and even if Lokal Matrimony has been advised of the possibility of such damages. Notwithstanding anything contained herein, in no event shall Lokal Matrimony’s total liability to you for all and any damages, losses, claims etc. exceed the amount paid by you to Lokal Matrimony for use of the Licensed Application or Products and Services. Lokal Matrimony undertakes no liability for Free Licensed Application and Services.

13. Indemnification

You agree to indemnify and hold Lokal Matrimony and its affiliates, directors, officers, employees, and agents harmless from and against any liabilities, losses, damages or costs, including reasonable attorney's fees incurred in connection with or arising from your breach of any of the Terms of Use or other policies including but not limited to the Privacy Policy and any third-party allegations, claims, actions, disputes or demands asserted by any of them as a result of or relating to your use of the Licensed Application and Products and Services or breach of any of the present Terms of Use.

You, by posting or sharing User Content on the Licensed Application, agree to hold Lokal Matrimony indemnified and harmless any legal proceedings, civil or criminal and against any losses, damages, claims, fines, penalties etc. which may be brought against or levied on Lokal Matrimony in relation to any matter arising out to or relating to User Content.

14. Termination

The agreement is effective until terminated by You or Lokal Matrimony. You can terminate this agreement at any time by closing the user account and no longer accessing or using the Licensed Application or Products and Services.

Your rights under this agreement will terminate without notice if You fail to comply with or breach any of the Terms of Use or any other policies including but not limited to Privacy Policy.

Lokal Matrimony even otherwise reserves the right to suspend or terminate this agreement, Yours or any User’s Account and/or refuse to provide such User with access to Lokal Matrimony if it is discovered that such user is not eligible to use Lokal Matrimony or has breached any terms of the present Terms of Use or any other applicable Policy including but not limited to Privacy Policy

Upon termination of the License, You shall cease all use of the Licensed Application and Products and Services and destroy all copies, full or partial, of the Licensed Application. In case of any termination by either You or Lokal Matrimony, You will not be entitled to any refund of any Subscription fees, if any, paid by you.

You understand and agree that upon deletion of the your Account, the details or User Content may not be retrievable.

15. Dispute Resolution

The formation and interpretation of these Terms of Use and any disputes arising in relation thereto shall be governed by the substantive and procedural laws of India. Courts at Bengaluru, Karnataka, India shall have exclusive jurisdiction in or in relation to any matter arising under the present Terms of Use or connected policies including but not limited to the Privacy Policy.

16. Changes and amendments

Lokal Matrimony reserves the right to modify this Terms of Use or policies including but not limited to Privacy Policy relating to the Licensed Application or Products and Services at any time, effective upon posting of an updated version of this Terms of Use or the said policies, as the case may be, in the Licensed Application. Upon doing so, the revised updated date shall be reflected at the bottom of the page containing the Terms of Use or the said policies. Continued use of the Licensed Application or Products and Service after any such changes shall constitute your consent to such changes to the Terms of Use or said policies.

17. Miscellaneous provisions

1. Some of the Licensed Applications or Products and Services that are offered may also governed by supplemental Terms. If You use any of those Licensed Applications or Products and Services, such supplemental terms will be made available and will become part of the agreement with You.
2. If any portion of these Terms of Use is found to be unenforceable, the remaining portion will remain in full force and effect. If Lokal Matrimony fails to enforce any of these Terms of Use, it will not be considered a waiver.
3. You will not transfer any of his rights or obligations under these Terms to anyone else without Lokal Matrimony’s consent. These Terms do not confer any third-party beneficiary rights.
